Xanodyne Pharmaceuticals Completes Merger

FLORENCE, KY. – February 9, 2004 – Xanodyne™ Pharmaceuticals announced today the completion of its merger with Indianapolis-based Integrity® Pharmaceutical Corporation. The completed merger creates a new product development and marketing company focused on the specialty medicine fields of women’s health, pain management, and urology. The combined organization, with some 150 employees, will be headquartered in Florence, Kentucky, in the greater Cincinnati, Ohio area with a manufacturing facility in Indianapolis, Indiana.
“This merger brings together two strong and complementary companies and expands our reach in the therapeutic areas of women’s health, pain management, and urology,” said Stefan Antonsson, President, Xanodyne Pharmaceuticals. “The new entity will have an extensive drug-development pipeline, manufacturing capabilities and a proven marketing team and sales force to generate increased sales from a diversified portfolio of marketed products.”
“Timing is just right for the new, strengthened company. We are launching Duet DHA by StuartNatal prenatal vitamin and preparing to launch a new product for the management of moderate to moderately severe pain in March,” Antonsson said. “The increased marketing and sales resources will ensure a more effective introduction of these important products to health professionals.”
